I. LIABILITY
Neither Logliners nor any of its parents, subsidiaries, affiliates or any of their directors, officers or employees bear any liability to any writer or any other third parties based on the information (or lack of information) provided at this website or uploaded to our server. In addition, please note that the projects available for posting deliverables may not have an associated fully executed production agreement. All obligations of Logliners, Inc. ("Company") to writers or any other persons doing business with Company are covered solely by definitive executed agreements to which Company is a party. Prior to the execution of such agreement, Company shall have no financial or other obligations with respect to any deal terms discussed and/or agreed to in principle. For clarification, any costs/expenses or other activities are incurred at your own cost and risk until full execution of the relevant agreement.

II. SCRIPT SUBMISSIONS TO LOGLINERS:
Logliners is very proud to be green and paperless. If your script cannot be entered digitally, feel free to contact us for alternate methods.

I acknowledge that Logliners receives numerous unsolicited submissions of ideas, formats, stories, suggestions and the like. I also acknowledge that Logliners has adopted the policy of refusing to accept, consider, or evaluate unsolicited submissions, unless the person making the submission has signed an agreement in form substantially the same as this and that Logliners would refuse to accept, consider or otherwise evaluate any submission in the absence of my acceptance of each and all provisions of this agreement.

I further understand that many submissions heretofore or hereafter received by Logliners are similar to ideas, formats, stories, suggestions and the like developed by Logliners or your employees or agents or to those otherwise available to Logliners. I further understand that Logliners have adopted the policy, with respect to unsolicited submissions, of refusing to accept, consider, review or evaluate such submissions unless the person submitting such submissions has signed an agreement in form substantially the same as this.

I specifically acknowledge that Logliners would refuse to accept, consider or review my Material in the absence of my acceptance of each and all provisions of this Agreement. It is understood that no confidential relationship is established by my submitting the Material to Logliners or its agents hereunder. I shall retain all rights to submit the Material or property similar thereto to persons other than Logliners.

III. DELIVERY AND RETURN OF MATERIAL:
I have retained at least one copy or duplicate of the Material submitted to Logliners concurrently herewith. I understand that Logliners is not responsible for returning my material, and is not be responsible to me, financially or otherwise, for any inadvertent loss of, or damage or destruction to, said Material. I understand that Logliners not returning the Material to me shall not terminate or affect any rights or obligations under this Agreement.

IV. RIGHTS AND OBLIGATIONS:
a) I agree that Logliners has no obligations to me except as in these terms and conditions, and that no other obligations exist or shall exist or shall be deemed to exist. I further acknowledge that at this time Logliners has no intent to compensate me in any way and I have no expectation of receiving any compensation. Logliners agrees, however, to not use the Material unless both parties agree upon such. I understand and agree that Logliners use of property containing elements similar to or identical with protectible literary property contained in my Material shall not obligate Logliners to me in any manner if Logliners shall have obtained such property either heretofore or hereafter from sources other than from me.

b) If my Material or any elements of my Material is not new, unique, concrete or novel and/or is in the public domain and/or is not original with me, then as between Logliners and me, I agree that Logliners has the right to use such elements with out any obligation to me whatsoever. Without limiting the foregoing, I claim right in the title of the Material only as regards its use in connection with the Material.

V. ARBITRATION OF DISPUTES:
In the event of any dispute concerning any alleged wrongful use of Material or a dispute with reference to this Agreement, its validity or effect, such dispute shall be submitted to arbitration in the County of Los Angeles, State of California and rules and regulations of the American Arbitration Association. Each party hereby waives any and all rights ( whether for damages or for injunctive or other relief) and benefits which he or it might otherwise have or be entitled to under the laws of the State of California to litigate in court any dispute, it being the intention of the parties to arbitrate all disputes in accordance with the provisions of this Agreement.

Further I indemnify and hold harmless Logliners and its subsidiaries, affiliates, officers, employees, agents, partners and licensors from any and all claims, liabilities, losses, damages, and expenses (including but not limited to attorney's fees, and costs of the court) which may be incurred by reason of any claim involving copyright, trademark, credits, publicity, and loss of or damage to the materials entered.

VII. LIMITATION ON LIABILITY:
YOU EXPRESSLY UNDERSTAND AND AGREE THAT LOGLINERS AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (REGARDLESS OF WHETHER LOGLINERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE LOGLINERS WEBSITE AND SUBMISSION; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE LOGLINERS WEBSITE AND SUBMISSION; OR (iii) ANY OTHER MATTER(S) RELATING TO THE LOGLINERS WEBSITE AND SUBMISSION. IF YOUR MATERIALS OR THE CERTIFICATE OF REGISTRATION ARE DESTROYED, DAMAGED, CORRUPTED, OR LOST, DUE TO LOGLINERS' FAILURE TO EXERCISE REASONABLE CARE OR BY ANY REASON WHATSOEVER, IT IS AGREED THAT THE LIQUIDATED DAMAGES FOR THAT LOSS IS AND SHALL BE LIMITED TO $1.00.

PAYMENT INFORMATION
(Competition Series submissions, PrePro Events, Logliners' Script Serivces)

VIII. REFUNDS:
Logliners does not offer refunds.

IX. COLLECTING PAYMENT:
Logliners accepts all major credit cards for payment via PayPal's secured check out system and payment gateway. All payments for the Logliners' Competition Series, PrePro Events or script services, including script coverage and script doctoring are to be made to: payment@logliners.com. For PrePro Events and other services at Logliners', CLIENTS ARE RESPONSIBLE FOR PAYPAL'S ASSESSED % FEE IN ADDITION TO THEIR SERVICE FEE.

X. RIGHT OF REFUSAL:
Logliners reserves the right to refuse service to anyone at anytime.

XI. PREPRO RIGHT TO DELAY*:
If our writers have a successful Event, then we have a successful Event. It is our responsibility to make sure that all scripts selected for our PrePro Events are duly qualified and ready for a professional read-through - we simply can not afford to have even one bad Event. That said, we will often green-light a script with conditions -- normally requiring the writer to make another pass on the script or seek assistance from a Script Doctor. In this case, we will secure an Event date for the writer(s), but the date subject to "delay" if the script needs more work. The Event can be delayed for up to 6 months, after which the writer will surrender any/all payments made to Logliners or its affiliates, with no refund.

* Script projects submitted from industry professionals have no contingencies.

ACKNOWLEDGMENT:
By submitting any material to Logliners, the writer or writers acknowledge that you have read this entire Agreement and agree to be bound by the terms set forth herein.

* Script Options and "production hype" or "traction" is determined and reviewed by Logliners staff and production partners. The term is generally conditioned by secured production deals and in-place financing. Please contact us for more information.
